These Terms of Service (“Terms”) govern access to and use of the websites, software, telecommunications services, eSIM services, cloud communication platform, AI-powered features and other services provided by UTELENET Solutions LLC (“UTELENET”, “we”, “us” or “our”).
By creating an account, purchasing a service, activating an eSIM, subscribing to a plan, signing an order form or service agreement, or otherwise using UTELENET, you agree to these Terms.

UTELENET operates a SaaS-based business communication platform and provides or facilitates telecommunications, connectivity, eSIM and related digital services.
UTELENET provides services to both business customers and individual consumers, depending on the product.
Business communication, cloud telephony, virtual numbers, call center functionality, AI call analytics and related services are primarily intended for businesses and professional users.
If you use UTELENET on behalf of a company or organization, you confirm that you have authority to act on its behalf.
Certain services, including eSIM and travel connectivity products, may be purchased by individual customers for personal use.
You must be at least 18 years old or otherwise have legal capacity to enter into the applicable contract.

The exact functionality available to you depends on the selected service, plan, country, technical configuration, provider availability and applicable law.
Certain UTELENET services are provided using infrastructure, networks or services supplied by third-party telecommunications carriers, eSIM providers, connectivity providers, number providers, routing providers and other technology partners.
UTELENET may use different providers depending on the country, destination, telephone number, network, eSIM package or technical requirements.
Third-party network availability, coverage, speed, routing, telephone number availability and other technical characteristics may be outside UTELENET's direct control.
Certain services require registration or creation of a UTELENET account.
You are responsible for:
UTELENET may request additional identification or business verification information where required for KYC, telecommunications provisioning, fraud prevention or legal compliance.
Business customers may be required to complete customer verification and enter into a separate Business Communication Services Agreement, order form or other commercial agreement before certain telecommunications services are activated.
Additional contractual terms agreed in writing with a business customer shall apply together with these Terms. If there is a conflict, the individually agreed service agreement will prevail for the relevant business service.
UTELENET may offer eSIM products that allow customers to access mobile data or other connectivity services through supported devices and participating mobile networks.
Before purchasing an eSIM, you are responsible for confirming that:
The specific data allowance, validity period, activation conditions, network availability and countries included in an eSIM package are shown on the applicable product page or during checkout.
Network coverage and performance depend on the underlying mobile network operators and may vary by location, device, network congestion, technical conditions and other factors.
An eSIM may be considered delivered when the relevant eSIM profile, activation information, QR code or other digital activation mechanism has been made available to the customer.
Customers should carefully follow the activation instructions. Installation or activation requirements may vary according to the device and the underlying eSIM provider.
Business telephony services may include virtual telephone numbers, inbound and outbound calls, SIP/VoIP connectivity, routing, cloud PBX functionality and related services.
Telephone numbers are provided for use during the applicable service period and are not sold as the customer's property unless expressly agreed otherwise.
Availability, continued use, portability and technical characteristics of telephone numbers may depend on telecommunications providers, regulatory requirements and local numbering rules.
Unless expressly confirmed by UTELENET in a separate written agreement, UTELENET services should not be relied upon as the sole method of contacting emergency services.
Customers are responsible for maintaining an appropriate alternative method of contacting emergency services.
UTELENET may provide AI-powered features for business communications, including transcription, summaries, analytics, conversation insights and other communication processing tools.
AI-generated results may contain errors, omissions or inaccurate interpretations. Customers should review important outputs before relying on them for business decisions.
AI outputs do not constitute legal, medical, financial or other professional advice.
Where call recording, transcription or analysis is enabled, business customers are responsible for ensuring that their use of these features complies with applicable privacy, telecommunications, employment, call recording and consent laws.
The customer is responsible for providing legally required notices and obtaining legally required consent from employees, customers, callers or other communication participants.
You may not use UTELENET for:
UTELENET may restrict or suspend services where fraudulent, abusive, unlawful or materially suspicious activity is detected.
Prices depend on the selected product, subscription, usage, number of accounts, telephone numbers, telecommunications traffic, AI processing, support package and other service components.
The applicable price will be displayed during checkout, stated in an invoice, order form, commercial proposal or separate service agreement.
Customers are responsible for paying all applicable charges associated with the services they order or use.
Usage-based telecommunications and platform services may be deducted from a prepaid balance or invoiced according to actual usage.
Certain customers may add funds to their UTELENET account balance for future use of telecommunications, AI or other platform services.
Account balance is not a bank account, electronic money account, investment account or financial product. It may only be used to pay for eligible UTELENET services.
Amounts already consumed for telecommunications traffic, AI processing or other delivered services are not refundable except where required by applicable law.
Certain UTELENET services may be provided on a recurring subscription basis.
The applicable billing cycle, renewal conditions and service configuration will be shown during purchase or stated in the relevant invoice, order form or service agreement.

Cancellation stops future renewal or future service periods in accordance with the applicable plan or agreement. It does not automatically create a right to reimbursement for services already provided or usage already incurred, except where reimbursement is required by applicable law.
Except where required by applicable law or expressly provided in the applicable service terms, payments for services that have already been activated, delivered, consumed or used are non-refundable.
Nothing in these Terms limits any mandatory consumer right that cannot legally be excluded.
Where mandatory consumer protection law applies, an individual consumer may have a statutory right to withdraw from a distance contract within the applicable statutory period.
Under Georgian consumer protection law, this period is generally 14 calendar days for qualifying distance contracts, subject to statutory exceptions.
Where you request that a digital or telecommunications service begin immediately after purchase, you expressly request that UTELENET and/or its applicable service provider begin performance before the expiry of any statutory withdrawal period.
Where permitted by applicable law, the right of withdrawal may cease once the relevant service has been fully performed or where qualifying digital content has begun to be supplied with your prior express consent and acknowledgement that the statutory right of withdrawal will be lost.
eSIM products are digital connectivity products which may be delivered and activated shortly after purchase.
Except where required by applicable law or by the applicable provider's mandatory terms:
Where an eSIM has not been activated or used, any request for cancellation or refund will be reviewed according to applicable law and the rules of the underlying eSIM provider.
Certain eSIM, telecommunications and connectivity services are supplied using third-party providers. Where a refund, cancellation or correction depends on the underlying provider, UTELENET may process the request according to that provider's applicable rules, provided that such rules do not limit mandatory rights granted to the customer by applicable law.
If a paid service was not delivered, materially fails to conform to the agreed service, or cannot be provided due to a problem attributable to UTELENET or the applicable service provider, please contact us.
Where required by applicable law, UTELENET may provide a remedy, replacement service, price adjustment, account credit or refund as appropriate to the circumstances.
Where a refund is legally required or approved by UTELENET, it will normally be returned using the original payment method unless another lawful method is agreed.
Customers may request termination of telecommunications services by contacting UTELENET.
Amounts corresponding to telecommunications services already provided, consumed or accrued up to the effective date of termination remain payable.
No cancellation provision in these Terms is intended to impose a penalty where such penalty is prohibited by applicable telecommunications or consumer protection law.
UTELENET uses reasonable efforts to maintain reliable services but does not guarantee uninterrupted availability.

Business customers retain responsibility for the legality of Customer Data they upload, transmit, record or process through UTELENET.
By using the services, you confirm that you have the necessary rights and legal basis to provide such data to UTELENET for processing.
UTELENET and its licensors retain all intellectual property rights in the UTELENET platform, software, interfaces, technology, documentation, trademarks, designs and other proprietary materials.
Customers receive a limited right to use the services during the applicable service period in accordance with these Terms and any applicable service agreement.
Customers retain their rights in data and content submitted to UTELENET.
You grant UTELENET the limited rights necessary to host, transmit, process, store and otherwise handle such content for the purpose of providing and securing the services.
Third-party telecommunications networks, mobile operators, eSIM providers, payment providers, integrations and other independent services may be subject to their own terms and technical limitations.
UTELENET is not responsible for an independent third party's acts or omissions except to the extent responsibility cannot legally be excluded.
To the maximum extent permitted by applicable law, UTELENET shall not be liable for indirect, incidental, consequential or special losses arising from use of the services.
Nothing in these Terms excludes or limits liability or statutory consumer rights where such exclusion or limitation is prohibited by applicable law.
UTELENET shall not be responsible for delay or failure caused by events beyond its reasonable control, including war, natural disasters, government restrictions, major telecommunications failures, interruption of network infrastructure and similar events.
We may update the services or these Terms where reasonably necessary because of product development, regulatory requirements, security considerations, provider changes or other legitimate business reasons.
Where applicable law requires advance notice or gives a customer a right to terminate following a material change, UTELENET will comply with those requirements.
These Terms are governed by the laws of Georgia, without limiting any mandatory consumer protection rights that may apply under the laws of the customer's jurisdiction.
The Parties should first attempt to resolve disputes through direct communication in good faith.
